AMC's No Does Not Automatically Halt AMC Stock Tokens Abroad on Robinhood
AMC Entertainment's CEO, Adam Aron, stated on Thursday that the company will not consent to AMC stock tokens on Robinhood in the United States. Is his no enough to stop them?
Key Points
- AMC opposes the tokens linked to its shares that Robinhood would create in the United States.
- Offshore tokens from Robinhood provide price exposure without shareholder rights.
- The SEC exemption requires written opposition from the issuer within 30 calendar days.
The Clash Between AMC and Robinhood
AMC contests Robinhood's control over its capital structure. On X, Aron referred to the instruments as "fake and synthetic shares" and warned that they could interfere with that structure.
He then wrote: "AMC must control its financial destiny, not Robinhood." In the post, he tagged Robinhood's CEO, Vlad Tenev, and legal head Dan Gallagher.
The dispute arises from a previously public confrontation. On September 4, 2026, Aron had asked Robinhood to halt trading of the tokens on AMC, explaining that he had instructed lawyers to verify whether AMC had grounds to block them.
Tenev responded the same day: "We support Stock Tokens." Robinhood's legal team argues that offshore products are distinct debt instruments from AMC shares and therefore do not require the company's consent.
The SEC Innovation Exemption: A Valid Opposition Only for the Individual Platform
The SEC Innovation Exemption does not grant listed companies a general veto over tokenization. It provides an opposition procedure for individual trading venues without requiring prior consent from each underlying company.
The exemption is dated September 17, 2026, and lasts for five years.
A venue using the exemption to trade tokenized shares from a non-affiliated third party must first send written notice to the underlying company. It must then wait at least 30 calendar days from receipt.
If during that period the company submits a written opposition, the venue cannot offer that tokenized share under the exemption. However, the block does not serve as a general prohibition for other products referencing its shares.
The framework also stipulates that tokens carry the same rights as ordinary shares, such as dividends and voting. Third-party securities that merely replicate synthetic exposure to another security are excluded.

Robinhood's AMC Stock Tokens: What Are Those Offshore Tokens Really
Offshore tokens provide exposure to the stock's price, not shareholder quality. The ones on AMC that Robinhood offers today abroad are debt instruments issued by Robinhood Assets (Jersey) Limited, not equity shares of AMC.
Robinhood claims that the underlying shares cover them one-to-one. However, holders do not have legal rights or beneficiaries in the represented companies.
This difference separates the offshore offering from tokens with rights contemplated by the SEC exemption. Robinhood's disclosures prohibit offers and sales in the United States and to U.S. persons, and the products are not registered under U.S. securities laws.
The overall offering includes over 190 tokens linked to listed companies and funds (ETFs).
AMC's refusal of stock tokens in the United States, therefore, does not automatically halt offshore instruments. In practice, the SEC process blocks trading on the notified venue when the issuer opposes within the stipulated time.
Robinhood executives have indicated their intention to allow the redemption of tokens for shares one-to-one and to extend voting rights to holders. For now, these remain stated plans, not active functions of the products.
